CODE OF CONDUCT OF RUNERGY

At RUNERGY, we are committed to conducting our business in accordance with applicable laws and regulations in all the countries where we operate. This Code of Conduct outlines the commitment to compliance and ethical conduct by RUNERGY and its Affiliates (RUNERGY and its Affiliates hereinafter referred to as “RUNERGY”, or “the Company”, supplier(s) of RUNERGY hereinafter referred to as “Supplier(s)”). It applies to all directors, officers, employees, representatives, and agents of RUNERGY worldwide. This Code of Conduct of RUNERGY supplements (but does not replace) any existing RUNERGY policies and procedures.

I. Conflicts of Interest and Insider Trading. We expect individuals associated with RUNERGY to avoid all personal financial or business transactions that may impact fair and impartial decision making or could create an actual or perceived conflict of interest with the company. We promote transparency and fairness in our decision making processes and expect the same from all those who work with us. We fully support and adhere to RUNERGY’s policies regarding associated relations. It is prohibited to take advantage of any company information or your position within the company for personal gain or to improperly benefit others. We prohibit the trading of securities based on material, non-public information about RUNERGY or any other company. Individuals should not use or share such information for the purpose of buying or selling securities.

II. Financial Integrity and Responsibility and Responsible Use of RUNERGY Assets. We follow accepted accounting principles and maintain accurate and reliable financial records with integrity. We promote responsible usage of RUNERGY assets and discourage personal use that interferes with job duties.

III. Health, Safety, and Environmental Protection. We prioritize the health and safety of our employees and promote training in health and safety issues. We comply with applicable statutory and international standards for environmental protection. We expect our suppliers to adhere to local laws and regulations related to environmental protection and promote corporate social responsibility.

IV. Integrity and Antibribery. We do not tolerate corruption or bribery in any form, anywhere in the world, and we comply with all applicable anti-corruption laws and regulations that apply to us, including the U.S. Foreign Corrupt Practices Act (FCPA). We expect all individuals associated with RUNERGY to act honestly, ethically, and with integrity, and to avoid any activities that could harm the interests of RUNERGY. We strictly prohibit all forms of corruption and bribery, including offering or accepting any payments, benefits, or gifts to influence decision-making in violation of the law. We are committed to maintaining ethical relationships with governments and their agencies and officials at all times and strictly prohibit offering or providing any improper benefit to a government official or any other person to improperly influence their decision making. RUNGERGY prohibits all individuals and entities (including our partners, suppliers, agents, representatives, advisors, intermediaries, contractors, subcontractors) who may act on our behalf from paying or accepting bribes, kick-backs or improper payments of any kind. We take precautions to ensure that business relationships are formed only with reputable and qualified third parties.

V. Protection of Confidential Information and Intellectual Property. We are committed to protecting RUNERGY’s confidential information, as well as the confidential information of third parties such as customers and suppliers. No confidential information should be shared without appropriate legal arrangements, such as a non-disclosure agreement (NDA). We protect RUNERGY’s intellectual property and take action to prevent the misuse, misappropriation, destruction, or loss of others’ intellectual property. We comply with applicable laws and regulations regarding the protection of proprietary information and intellectual property.

VI. Respect for Human Rights. RUNERGY is firmly committed to respecting human rights and taking responsible and conscientious actions to avoid any human rights violations. As part of the Company’s commitment to protecting human rights, the Company requires its suppliers (“Suppliers”) to comply with laws and regulations against unfair labor practices. RUNERGY and its Suppliers are required to support the International Bill of Human Rights, the United Nations Guiding Principles on Business and Human Rights and the ILO Declaration on Fundamental Principles and Rights at Work. Workers must be treated with respect and dignity. This applies to all workers, including directly hired employees, contract employees, temporary employees, foreign workers, students, and any other type of worker. To support the human rights of its employees, RUNERGY and its suppliers are required to comply with the requirements specified in the Company’s Labor Compliance Guidelines (“Guidelines”). RUNERGY is against the use of involuntary labor as defined in the Guidelines within any part of its supply chain.

VII. Resource for Submitting Questions or Concerns. We have established a transparent and effective procedure that enables workers, whether individually or collectively, to submit grievances without fear of prejudice or retaliation. No one has the authority to ask you to engage in behavior that violates the Code. If you suspect that somebody’s actions or a practice in relation to work for the Company violates laws, our Code or our other policies, you should promptly report the situation for follow-up. No action may be taken against any individual for raising a concern or reporting, in good faith, known or suspected violations of this Code or RUNERGY policy. All forms of retaliation, including intimidation, harassment, exclusion, demotion, or job/shift reassignment, are a breach of our Code.

VIII. Audit Rights. We have developed an audit plan, which includes contractual provisions designed to secure the right to audit Suppliers to ensure compliance with this Code of Conduct.

IX. Trade Regulations and Competition Law Compliance. We operate with fairness and honesty, complying with all applicable export and import control and economic sanctions laws and regulations (“International Trade Laws”). We take responsibility for understanding and complying with international trade compliance (ITC) laws and regulations worldwide. All relevant personnel are required to follow such policies and procedures and to compliance with all applicable International Trade Laws. We do not engage in activities or transactions involving sanctioned territories or parties unless doing so is in compliance with applicable economic sanctions laws. We ensure that any exports, re-exports or transfers (in-country) of goods, software and technology are conducted in compliance with any applicable Export control laws. Company Suppliers are required to adhere to a Supplier Code of Conduct that requires compliance with any applicable International Trade Laws. We compete vigorously and lawfully, adhering to all competition, antitrust, or anti-monopoly laws in the jurisdictions where we do business.

X. Code Compliance. We take seriously the requirement for all employees and Suppliers to comply with the Code of Conduct. Breaching any part of the Code, including the relevant policies and procedures referenced within, may result in disciplinary action that may include, but is not limited to, verbal or written warnings, suspension from work, or termination. Suppliers who violate the Code of Conduct may face the consequences of contract termination or cancellation of cooperation. In some cases, conduct that breaches the Code may also be a breach of the law and carry civil penalties or criminal charges for individuals and the Company.

XI. Language. This Code of Conduct is written in both English and Chinese, and both languages are equally valid.
